The terms governing your use of Celvara's website and advisory services. Please read them at your convenience before engaging with us.
1. Definitions
In these Terms and Conditions, the following expressions have the meanings set out below:
- "Agreement"
- These Terms and Conditions together with any engagement letter or service agreement between Celvara and the Client.
- "Celvara"
- Celvara Legal Advisory, a legal advisory practice with registered address at 71 Robinson Road, #14-01, Singapore 068895 ("we", "us", "our").
- "Client"
- Any person or entity that engages Celvara's services or accesses the Website ("you", "your").
- "Services"
- Legal advisory services offered by Celvara, including but not limited to Banking & Finance Advisory, Employment Pass Appeals, and Neighbour Dispute Advisory.
- "Website"
- The website accessible at https://celvara.life and all pages therein.
- "Content"
- All text, images, documents, materials, and information published on or delivered through the Website or as part of the Services.
2. Acceptance of Terms
By accessing the Website or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy.
You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are accessing the Website on behalf of a company or organisation, you represent that you have authority to bind that entity.
If you do not agree with any part of these terms, you should refrain from using the Website or engaging our Services.
3. Service Description
Celvara provides legal advisory services to individuals, businesses, and financial institutions in Singapore. Our current service offerings include:
Banking & Finance Advisory
Advisory on loan documentation, security arrangements, regulatory compliance, and restructuring for lenders, borrowers, and financial institutions. SGD 2,300 per engagement.
Employment Pass Appeals
Appeal preparation, grounds assessment, and submission support for Employment Pass rejections by the Ministry of Manpower. SGD 780 per engagement.
Neighbour Dispute Advisory
Guidance on noise, boundary, and facility disputes, including Community Mediation Centre preparation. SGD 380 per engagement.
Services are available to clients with matters arising in Singapore. We reserve the right to decline engagements at our discretion without being required to provide reasons.
4. User Responsibilities
When using our Website or engaging our Services, you agree to:
Provide accurate, complete, and current information in all communications and forms.
Use the Website and Services only for lawful purposes and in accordance with these terms.
Notify us promptly if any information you have provided changes materially.
Cooperate with our reasonable requests for information necessary to deliver the Services.
The following activities are prohibited:
Attempting to gain unauthorised access to our systems or data.
Reproducing, distributing, or commercially exploiting any Content without prior written consent.
Submitting false, misleading, or fraudulent information.
Using automated tools to scrape or collect data from the Website.
5. Intellectual Property
All content on the Website — including text, graphics, layout, logos, and software — is the property of Celvara or its licensors and is protected under Singapore's Copyright Act 2021 and applicable international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable licence to access and view the Website for personal, non-commercial purposes. This does not extend to reproduction, distribution, or adaptation of any Content.
Deliverables prepared as part of your engagement (such as advisory letters, memos, and checklists) are provided for your use in connection with the matter they relate to. Resale or redistribution of such deliverables is not permitted without our written consent.
6. Payment Terms
All fees are quoted in Singapore Dollars (SGD) and are exclusive of applicable taxes unless otherwise stated. Our standard fees are:

Payment is accepted via bank transfer to Celvara's designated account, details of which will be provided in your engagement letter. Invoices are due within 7 business days of issuance unless otherwise agreed.
Fees paid are generally non-refundable once work has commenced, except where Celvara is unable to deliver the agreed service. Refund requests prior to commencement will be considered on a case-by-case basis.
7. Service-Specific Terms
Banking & Finance Advisory
- • Advisory is provided on the documentation and regulatory aspects of transactions. It does not constitute legal representation before courts or tribunals.
- • Engagements cover the scope agreed in the engagement letter. Additional matters will be priced separately.
- • Timelines of four to ten weeks are indicative and may vary depending on document complexity and third-party responsiveness.
- • Regulatory compliance memos reflect the position as at the date of issue and should not be relied upon for matters arising after that date.
Employment Pass Appeals
- • Appeal support is limited to preparation and submission of the appeal to MOM. Celvara does not communicate directly with MOM on behalf of clients unless separately authorised.
- • Outcomes of appeals are determined solely by MOM. Celvara does not represent or warrant any particular outcome.
- • Clients are responsible for providing complete and accurate information about the original application. Incomplete information may affect the quality of support provided.
Neighbour Dispute Advisory
- • Advisory is based on the information provided by the client. The service does not include site visits or independent verification of facts.
- • Mediation preparation briefs are designed to help clients present their position clearly. Celvara does not attend mediation sessions unless separately engaged.
- • Advisory letters are addressed to the client. Distribution to third parties is at the client's discretion and responsibility.
8. Disclaimers
Not legal representation: Advisory services provided by Celvara constitute legal advisory assistance and not legal representation. Clients who require representation in proceedings should engage a licensed advocate and solicitor.
The Website and its Content are provided on an "as is" basis. Celvara makes no representations as to the completeness, accuracy, or currency of information on the Website for any particular purpose.
General information on the Website does not constitute legal advice. Each legal situation is fact-specific, and you should consult a qualified legal professional in relation to your particular circumstances.
9. Limitation of Liability
To the extent permitted under Singapore law, Celvara's total liability to a client for any claim arising out of or in connection with a service engagement shall not exceed the fees paid for that specific engagement.
Celvara shall not be liable for indirect, consequential, special, or incidental losses — including loss of profit, loss of business, or loss of data — whether arising in contract, tort, or otherwise, even if advised of the possibility of such losses.
Nothing in these terms excludes or limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be limited under applicable Singapore law.
10. Indemnification
You agree to indemnify and hold harmless Celvara, its associates, and personnel from and against any claims, damages, costs, and expenses (including reasonable legal fees) arising out of:
Your breach of these Terms and Conditions.
Inaccurate or incomplete information provided by you in connection with the Services.
Your violation of any applicable law or third-party rights.
11. Termination
Either party may terminate an engagement by providing written notice to the other. Where work has commenced, fees for work already performed will remain payable.
Celvara reserves the right to withdraw services if: a conflict of interest is identified after engagement commences; information provided by the client is found to be materially inaccurate; or continued engagement would require acting in a manner inconsistent with professional obligations.
Provisions of these Terms relating to intellectual property, limitation of liability, indemnification, and dispute resolution shall survive termination.
12. Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of Singapore. The parties agree to the non-exclusive jurisdiction of the Singapore courts.
Step 1: Dialogue

Step 2: Mediation
If unresolved, parties may seek mediation through the Singapore Mediation Centre before commencing legal proceedings.
Step 3: Courts
Disputes not resolved through the above steps may be referred to Singapore's courts for final determination.
13. General Provisions
Entire Agreement
These Terms and Conditions, together with any engagement letter, constitute the entire agreement between the parties with respect to the subject matter hereof.
Severability
If any provision of these terms is found to be unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.
No Waiver
A failure by either party to exercise any right under these terms shall not constitute a waiver of that right.
Assignment
You may not assign your rights or obligations under these terms without our prior written consent. Celvara may assign its rights to a successor entity.
14. Changes to These Terms
We may update these Terms and Conditions from time to time. When we do, we will update the "Last Updated" date at the top of this page. Material changes will be communicated by a notice on the Website.
Your continued use of the Website or Services after any changes constitutes your acceptance of the updated terms. If you do not agree with a change, you should discontinue use of the Website and notify us to terminate any active engagement.
